MEMBERSHIP AGREEMENT

& TERMS OF SERVICE

By joining the Clinicianpreneur membership community (“The Membership”), you (“Member”) agree to the following terms and conditions. These terms govern your access to and use of all Clinicianpreneur content, community spaces, and resources.

1. Nature of Content & Services

1.1 Educational & Informational Purpose

All content provided through the Clinicianpreneur membership — including but not limited to course materials, community discussions, live sessions, and resources — is for educational and informational purposes only.

1.2 Not Professional Advice

Clinicianpreneur content does not constitute and shall not be construed as:

• Legal advice
• Financial or investment advice
• Medical advice
• Tax advice
• Employment counseling

Members are encouraged to consult with qualified professionals in each respective area before making decisions based on content provided through the Membership.

1.3 No Guarantee of Outcomes

Clinicianpreneur makes no representations, warranties, or guarantees regarding specific outcomes, including but not limited to: income, consulting engagements, advisory positions, equity opportunities, career advancement, or business success. Individual results will vary based on numerous factors including but not limited to effort, experience, market conditions, and individual circumstances.

2. Community Conduct & Participation

2.1 Acceptable Use

Members agree to engage in the community (including all Slack channels, forums, and live sessions) in a professional, respectful, and constructive manner.

2.2 Prohibited Conduct

The following activities are strictly prohibited within the Membership community:

• Solicitation & Sales: No selling, pitching, or promoting of products, services, courses, coaching programs, or business opportunities to other members, whether directly or indirectly
• Spam & Self-Promotion: No unsolicited self-promotion, link sharing for personal gain, or repetitive posting of promotional content without prior written approval from Clinicianpreneur
• Recruitment: No recruiting, headhunting, or soliciting members for employment, partnerships, or business ventures without prior approval
• Harassment & Discrimination: No harassment, bullying, discriminatory remarks, or conduct that creates a hostile environment for other members
• Misinformation: No sharing of misleading, fraudulent, or knowingly false information
• Impersonation: No misrepresenting your identity, credentials, or professional qualifications

2.3 Right to Remove

Clinicianpreneur reserves the right to remove any member from the community and revoke access at its sole discretion, with or without cause, and with or without prior notice. Grounds for removal include, but are not limited to, violation of any terms in this agreement.

3. Membership & Payment Terms

3.1 Refund Policy

All membership fees are non-refundable. Once payment is processed, the Member shall have access to all Membership content and community resources for the duration of the applicable membership term. No refunds, whether full or partial, will be issued for any reason, including but not limited to: early cancellation, failure to use or access Membership content, dissatisfaction with content, or change of circumstances. By completing payment, Member acknowledges and accepts this no-refund policy.

3.2 Refund Upon Removal

Members removed for violation of these terms are not entitled to a refund of any fees paid, whether in whole or in part.

3.3 Membership Modifications

Clinicianpreneur reserves the right to modify membership features, pricing, and benefits with reasonable notice to members. Continued use of the Membership after modifications constitutes acceptance of updated terms.

4. Intellectual Property

4.1 Clinicianpreneur Content

All course materials, frameworks, templates, recordings, written content, and other resources provided through the Membership are the exclusive intellectual property of Clinicianpreneur and its creator(s). Members may not reproduce, redistribute, resell, repurpose, or publicly share any Membership content without prior written consent.

4.2 Member Content

Members retain ownership of their own original content shared within the community. By posting in community spaces, members grant Clinicianpreneur a non-exclusive, royalty-free license to use, display, and reference such content within the Membership ecosystem (e.g., for community discussion, testimonials with permission, etc.).

4.3 Recordings & Screenshots

Members may not record, screenshot, or otherwise capture live sessions, community discussions, or other Membership content for redistribution or use outside the Membership without prior written approval.

5. Confidentiality & Privacy

5.1 Community Confidentiality

Members agree to treat all discussions, shared experiences, and personal information disclosed by other members within the community as confidential. Members shall not share, screenshot, copy, or redistribute any other member’s posts, comments, or shared information outside of the Membership without that member’s explicit written consent.

5.2 No Liability for Member-to-Member Interactions

Clinicianpreneur is not responsible for the content, accuracy, or consequences of communications between members. Members interact with one another at their own risk.

6. Limitation of Liability & Indemnification

6.1 Limitation of Liability

To the maximum extent permitted by applicable law, Clinicianpreneur, its owner(s), employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from or related to your participation in the Membership, including but not limited to: loss of income, loss of business opportunities, reliance on content or advice provided, or actions taken based on Membership materials.

6.2 Indemnification

Member agrees to indemnify, defend, and hold harmless Clinicianpreneur, its owner(s), employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

• Member’s use of or reliance on Membership content
• Member’s business decisions, consulting engagements, or advisory activities
• Member’s violation of these terms
• Member’s interactions with other members or third parties
• Any claims by Member’s patients, clients, employers, or business partners

6.3 No Professional Relationship

Participation in the Membership does not create an employer-employee, fiduciary, attorney-client, or any other professional relationship between Clinicianpreneur and the Member.

7. Assumption of Risk

Member acknowledges that any business, consulting, or advisory activities undertaken as a result of participation in the Membership are done at Member’s own risk. Member assumes full responsibility for evaluating the applicability of any content, strategy, or information to their own circumstances, licensure requirements, employment agreements, and professional obligations.

8. Modifications to Terms

Clinicianpreneur reserves the right to update or modify these terms at any time. Members will be notified of material changes via email or community announcement. Continued participation in the Membership after notification of changes constitutes acceptance of the updated terms.

9. Severability

If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

10. Entire Agreement

This agreement constitutes the entire agreement between the Member and Clinicianpreneur regarding the Membership and supersedes all prior agreements, representations, and understandings.

Acknowledgment & Acceptance

By joining the Clinicianpreneur membership, the member agrees to be bound by these terms and conditions.
